Terms of Sale & Shipping — Artome USA LLC (United States)
1. Scope and Applicability
These Terms of Sale and Shipping (“Terms”) apply to all sales of products by Artome USA LLC (“Supplier”) to customers located within the United States (“Purchaser”) unless otherwise agreed in writing.
These Terms supplement Supplier’s General Terms & Conditions of Sale. In the event of any conflict, these Terms shall govern with respect to shipping and delivery within the United States.
2. Flat-Rate Shipping
Supplier provides standard shipping via FedEx air freight at a flat rate of USD $150 per unit within the contiguous United States unless otherwise stated in writing.
The flat rate includes:
- Standard FedEx delivery to the delivery address
- Transit insurance arranged by Supplier
- One standard delivery attempt during normal business hours
The flat rate does not include special handling, site-specific services, or non-standard delivery requirements.
3. Additional Delivery Services (Not Included)
The Purchaser must expressly notify Supplier prior to shipment if any of the following services are required:
- Liftgate service
- Limited access delivery (including schools, campuses, construction sites, or locations with restricted carrier access)
- Inside delivery
- Deliveries requiring appointments or special scheduling
- Remote or difficult access locations
- White-glove services, unpacking, installation, or debris removal
- Time-specific or expedited delivery beyond standard service
If such requirements are not disclosed in advance and additional carrier charges or operational costs are incurred, Supplier reserves the right to invoice the Purchaser for all applicable surcharges and administrative costs.
4. School and Campus Deliveries
Deliveries to schools, campuses, or facilities with restricted access may be classified by carriers as limited access and may incur additional charges.
The Purchaser is responsible for notifying Supplier in advance of any access restrictions, delivery procedures, or site requirements specific to the delivery location.
5. Delivery Address and Site Responsibility
The Purchaser is responsible for:
- Providing accurate delivery information
- Ensuring the delivery location is accessible to standard FedEx vehicles
- Having personnel available to receive the shipment
- Ensuring the site is ready to accept delivery
Any delays, failed deliveries, or additional costs arising from site conditions or inaccurate information shall be borne by the Purchaser.
6. Missed Deliveries and Re-Delivery Charges
If delivery cannot be completed due to:
- Customer unavailability
- Refusal of delivery (except for verified shipping damage)
- Incorrect address
- Site inaccessibility
- Failure to meet carrier requirements
The Purchaser shall be responsible for any re-delivery, storage, return shipping, or handling fees charged by the carrier.
Supplier may require payment of such charges prior to reshipment.
7. Transfer of Risk and Ownership
Supplier ships all products insured during transit.
Risk of loss and responsibility for the goods transfer to the Purchaser upon delivery at the Purchaser’s designated delivery address.
Title to the goods transfers in accordance with Supplier’s standard payment terms and applicable contract documentation.
8. Inspection and Freight Damage Claims
The Purchaser must inspect shipments upon receipt.
Any visible damage must be noted with the carrier at delivery and reported to Supplier promptly.
Claims for concealed damage must be reported to Supplier within five (5) business days of delivery. Failure to report within this timeframe may limit Supplier’s ability to pursue claims with the carrier.
9. Shipping Adjustments and Changes
Requests to modify shipping arrangements after shipment has been initiated may result in additional charges, which will be invoiced to the Purchaser.
Supplier reserves the right to pass through carrier fees without markup.
10. Quote and Order Confirmation Control
Written quotations, order confirmations, or specific contractual agreements issued by Supplier shall prevail over any information presented on the website or in general policy descriptions.
11. Limitation of Liability
To the fullest extent permitted by law, Supplier shall not be liable for indirect, incidental, or consequential damages arising from shipping delays, carrier performance, or site conditions beyond Supplier’s reasonable control.
12. Force Majeure
Supplier shall not be liable for delays or failure to perform due to events beyond its reasonable control, including but not limited to carrier disruptions, weather, labor issues, transportation interruptions, or governmental actions.
13. Governing Law
These Terms shall be governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.
14. Changes to Terms
Supplier reserves the right to update these Terms at any time. The version in effect at the time of order confirmation shall apply.
